In India a concept of LLP was introduced in year 2008 by the Limited Liability Partnership Act, 2008. The LLP was a unique combination of a company and a partnership firm. It was alternative business registration type having features of company and partnership firm.

LLP partners are known as designated partners whose liability is limited to his/her share. LLP Business is governed by LLP deed. Incorporation Certificate is obtained from MCA.

LLP registration process usually takes 5-7 working days.

Minimum Requirements for LLP Registration

  • Number of Partners – A minimum number of 2 partners are required for LLP registration. However, there is no upper limit.  
  • Proper & Eligible Name – Name of the LLP should not be undesirable and resemble from existing LLP. Trademark registry should be checked to ensure name does not match with any registered or applied trademark in India
  • Registered Address – A registered address should be maintained by LLP at all times.

LLP Registration Process Online

  1. User should get himself registered on the MCA portal by clicking on Sign Up option on top left of the window.
  2. All designated partners should obtain Designated Partner Identification Number (DPIN). However, if any of the designated partners already have a Director Identification Number (DIN), no need to obtain DPIN.
  3. Designated partners of proposed LLP should obtain Digital Signature Certificate (DSC)
  4. Go to Tab MCA Services > LLP E-filling and click on form “RUN – LLP (Reserve Unique Name)” for name reservation of LLP.
  5. Once the Name gets approved, Go to Tab MCA Services > LLP E-filling and click on form “Fillip Incorporation” of LLP for obtained Incorporation of LLP. Once registrar approves all the form, Certificate of Incorporation is issued to user.
  6. Post success submission of Incorporation form, Go to Tab MCA Services > LLP E-filling and click on Form 3 “Information with regard to Limited Liability Partnership Agreement and changes, if any, made therein”. This form has to be filled within 30 days of incorporation.
  7. As soon as Certificate of Incorporation is received LLP can apply for its own PAN, TAN and Bank Account.

  1. PAN Card of Designated Partners
  2. Passport (Foreign Nationals Only) Designated Partners
  3. Aadhaar Card/Voters Identity Card/Ration Card/Driving License of Designated Partners
  4. Residential Address Proof – Electricity Bill/Telephone Bill/ Recent Utility Bill
  5. Bank Statement
  6. Passport Size Photo
  7. Business Place Address Proof – Electricity Bill/Recent Utility Bill/NOC from owner/ Rent Agreement
